Terms of Service

By accessing or using InboxTMS (inboxtms.com and app.inboxtms.com), you agree to be bound by these Terms of Service. These terms apply to all users, visitors, and others who access or use the service.

If you are using InboxTMS on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these terms. In that case, “you” and “your” refer to that entity.

If you do not agree to these terms, do not use the service.

InboxTMS is a cloud-based Transportation Management System (TMS) designed for freight brokerages. The service includes email integration, AI-powered email parsing, carrier management, load management, document management, invoicing, and related tools.

The service is provided “as is” and we continuously improve and update features. We reserve the right to modify, suspend, or discontinue any part of the service at any time with reasonable notice.

• You must provide accurate and complete information when creating an account
• You are responsible for maintaining the security of your account credentials
• You must notify us immediately of any unauthorized access to your account
• One person or entity may not maintain more than one account
• You must be at least 18 years old to use the service

• InboxTMS offers paid subscription plans as described on our pricing page
• Prices are in US dollars and do not include applicable taxes
• Subscriptions are billed monthly or annually depending on your selected plan
• Payment is processed through Stripe. By subscribing, you also agree to Stripe's terms of service.
• Free trial: New accounts receive a 14-day free trial. A credit card is required at signup. You will not be charged during the trial period. At the end of the trial, your selected plan will automatically begin billing unless you cancel.
• You can cancel your subscription at any time. Cancellation takes effect at the end of your current billing period. No refunds for partial billing periods.
• We reserve the right to change pricing with 30 days notice. Price changes do not affect your current billing period.

You agree NOT to:

• Use InboxTMS for any illegal purpose
• Attempt to access other organizations' data
• Reverse engineer, decompile, or disassemble the service
• Use the service to send spam or unsolicited emails
• Upload malicious files or code
• Resell or redistribute the service without permission
• Use automated systems (bots, scrapers) to access the service except through our official API
• Exceed the usage limits of your subscription plan (load limits, user limits)
• Misrepresent your identity or affiliation

• InboxTMS connects to your Microsoft Outlook email account via OAuth with your explicit consent
• You authorize InboxTMS to read incoming emails and send emails on your behalf as part of the service functionality
• You are responsible for all emails sent through InboxTMS via your connected email account
• InboxTMS will never send emails without your explicit approval
• You can revoke email access at any time through your Microsoft account settings or within InboxTMS

You own your data. All shipment data, carrier information, customer information, documents, and business data you input into InboxTMS belongs to you.

• We do not claim ownership of any content you upload or create in InboxTMS
• You grant us a limited license to use your data solely to provide and improve the InboxTMS service
• Upon account termination, you may request export of your data within 30 days

• InboxTMS, its logo, design, code, and documentation are owned by InboxTMS and protected by intellectual property laws
• Your subscription grants you a non-exclusive, non-transferable license to use the service for your internal business purposes
• You may not copy, modify, or create derivative works of the service

• We strive to maintain high availability but do not guarantee 100% uptime
• The service may be temporarily unavailable for maintenance, updates, or circumstances beyond our control
• We will make reasonable efforts to notify you of planned maintenance in advance

• InboxTMS is provided “as is” without warranties of any kind, express or implied
• We do not warrant that the service will be uninterrupted, error-free, or secure
• AI-powered features (email parsing, data extraction) are provided as assistance tools and may contain errors. You are responsible for reviewing AI-generated content before acting on it.
• In no event shall InboxTMS be liable for any indirect, incidental, special, consequential, or punitive damages
• Our total liability for any claim arising from the service shall not exceed the amount you paid us in the 12 months preceding the claim
• We are not liable for any loss of revenue, data, or business opportunities arising from use of the service
• We are not responsible for the content of emails sent through your connected email account via InboxTMS

You agree to indemnify and hold harmless InboxTMS, its operators, and affiliates from any claims, damages, losses, or expenses (including reasonable attorney's fees) arising from your use of the service, your violation of these terms, or your violation of any third-party rights.

• We may suspend or terminate your account if you violate these terms
• We may suspend your account if your payment fails and is not resolved within 14 days
• Upon termination, your right to use the service ceases immediately
• We will retain your data for 30 days after termination, after which it will be permanently deleted
• You can terminate your account at any time by contacting contact@inboxtms.com

• These terms are governed by the laws of the State of Florida, United States
• Any disputes shall be resolved through binding arbitration in Palm Beach County, Florida
• You waive any right to participate in a class action lawsuit against InboxTMS

• We may modify these terms at any time
• We will notify you of material changes via email or in-app notification at least 30 days before they take effect
• Continued use of InboxTMS after changes constitutes acceptance
• If you disagree with changes, you may terminate your account

If any provision of these terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions of these terms will remain in full force and effect.

These Terms of Service, together with our Privacy Policy, constitute the entire agreement between you and InboxTMS regarding the use of the service, superseding any prior agreements between you and InboxTMS relating to the service.
